Sales Progression Agreement

THIS AGREEMENT is made BETWEEN

 

The associate ordering an individual sales progression case via https://kwukplus.com/agent-services/

and,

Quirk Readings Limited [KWP], trading as Keller Williams Plus, 101-135 Kings Road, Brentwood, Essex, CM14 4DR

 

IT IS HEREBY AGREED AS FOLLOWS

 

1)     Definitions

“you” means: The associate ordering an individual sales progression case via https://kwukplus.com/agent-services/

“KWP” means: Quirk Readings Limited, trading as Keller Williams Plus

“completion fee” means: £200 per sale exchange (ex vat)

“Confidential Information” is defined as information, regardless of the format or manner in which it is recorded or stored, which is not within the public domain and which relates to the business, products, finances, affairs, trade secrets, intellectual property, technical data, and know- how of the Company, its clients, customers, or any business contacts whatsoever.

 

For the supply of Sales Progression Services.

you wish to obtain from KWP, an in-house sales progression service.

NOW, THEREFORE, in consideration of the promises hereinafter set forth, you and KWP acknowledge and agree as follows:

SECTION 1. Sales Progression

  1. Upon order, you will employ KWP as your in-house sales progressor. The completion fee is only payable once completion of each sale occurs.
  2. If an agreed sale does not complete for any reason, no fee is due to KWP.
  3. The Completion Fee is due upon completion of the transaction and will be deducted from the commission fee transferred by your Keller Williams Market Centre.
  4. KWP will assign a dedicated employee to progress your sale with a minimum of a weekly update, but will increase updates where required.
  5. A central platform will be used to update the buyer and seller.

 

SECTION 2. TERM.

This Agreement is effective as of the Effective Date and will continue for the duration of the transaction, up until completion. An order does not constitue a subscription for future cases. An order is required for each case.

Once an order is received and KWP have setup the case for the buyer and seller on our chosen platform, if you wish to cancel, the completion fee will be due immediately.

 

SECTION 3. MISCELLANEOUS.

The parties agree as follows:

if any of the provisions of this Agreement are held to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable;

  • this Agreement contains the entire agreement of the parties with respect to its subject matter and supersedes all existing agreements and all other oral, written, or other communications between them concerning its subject matter;
  • this Agreement may not be modified in any way except by a writing signed by both parties hereto;
  • if it becomes necessary for either party to institute any legal action against the other party with respect to this Agreement, the prevailing party in such action shall be entitled to its reasonable attorney’s fees and costs;
  • the parties irrevocably and unconditionally waive trial by jury in any legal action or proceeding relating to this Agreement; and
  • this Agreement may be executed in counterparts (facsimile and PDF signatures shall be sufficient, fully binding and fully enforceable).

 

These terms shall be interpreted in accordance with English law and the parties agree to submit to the exclusive jurisdiction of the English courts.
